EverFile’s acceptance of any advertisement will not be considered an endorsement of the products and/or services advertised, or for the company that manufactures, distributes, or promotes the products or services.
EverFile reserves the right to reject, cancel, or remove at any time any advertising from its website for any reason and will provide prompt notice to the advertiser with an explanation following the rejection, cancellation, or removal. EverFile will not approve any advertising that, in its opinion, is inappropriate or incompatible with our mission or not factually accurate and in good taste, and will not accept advertising for illegal or objectionable products. Advertising must not contain fraudulent, deceptive, or offensive material, including material that misrepresents, ridicules, or attacks an individual or group on the basis of age, color, national origin, race, religion, sex, sexual orientation, or handicap. Advertising must not be related to weapons, ammunition or fireworks, gambling or lottery, pornography, tobacco, religion or politics, or the simulation of news or an emergency.
EverFile will review new advertisements, including any landing page(s) linked to an advertisement. All advertisements must clearly and prominently identify the advertiser by trademark or signature. The company sponsoring the website of any landing page must be clearly identified on that page.
Any advertisements, advertising icons and advertiser logos must be clearly distinguishable from editorial content. Any advertising that could be misconstrued as editorial content must be clearly and unambiguously labeled as advertising.
EverFile does not allow its members' information, such as email addresses, to be used for any direct marketing or solicitation purposes.
Advertisers and their agents may not collect any personal information from any user viewing the EverFile website except with the user’s knowledge and permission and only after giving the user substantive information about the uses to which the information will be put. Similarly, cookies, applets and other such files are prohibited if those files transmit any personally identifiable information to the advertisers or their agencies without the user’s knowledge and permission.
Complete policies and rules for any market research or promotion associated with an advertisement must be displayed in the ad or available via a prominent link.
Any reference to EverFile or it products or services in advertisements, promotional material, or merchandising by advertisers or their agencies is subject to EverFile’s prior written approval.
EverFile reserves the right to determine the appropriate placement of the Advertising on its website. Since advertising inventory constantly changes, EverFile cannot guarantee fixed positioning. EverFile will not be liable for any failure to publish any accepted advertisement; we will use reasonable efforts to place advertisements in subsequent available space.
EverFile is not responsible for incidental or consequential damage for errors in displaying an advertisement.
Advertisers and their agencies, jointly and severally, agree to indemnify and hold harmless EverFile, its officers, agents and employees against expenses (including legal fees) and losses resulting from the publication of the contents of the advertisement, including, without limitation, claims or suits for libel, violation of privacy, copyright infringement, or plagiarism. Advertisers are responsible to comply with all applicable domestic and foreign laws, including applicable laws and regulations of regulatory bodies.
Advertising rates are subject to change. Rates are guaranteed for the duration of the original contract. EverFile will not be bound by any condition, printed or otherwise, appearing on any insertion order or instructions when such conditions conflict with the conditions set forth in EverFile’s advertising policies.
Advertising reservations are accepted through the closing date. Cancellations of reserved advertising space will not be accepted after the published closing date. Payment terms are net 30 days.
In the event of nonpayment, EverFile reserves the right to hold an advertiser and/or its advertising agency jointly and severely liable for amounts due and payable.

Technical Guidelines
- All ads must be coded so click-throughs launch a new browser window using target="_blank".
- Within standard banner, skyscraper and larger ad units, ad animation of any form can run for a maximum of 30 seconds without being re-initiated by the user. Sound can run a maximum of 30 seconds and cannot repeat unless re-initiated by the user. All ads must include a prominently visible and clickable on/off button for sound.
- Ads that lead to a Web site where the 'Back' button is disabled and as a result users cannot return to EverFile Systems on the Web will not be accepted.
- Mouse-over interaction with an ad within a page on the EverFile website can only provoke ad interaction within the current open browser window and cannot link a user to a new Web site.
- EverFile will test and approve all ads served via a third party prior to acceptance.
- Flash ads are to be saved as .swf files in Version 7
- Maximum of 18 frames per second
- Clicktags/Tracking: Click-through functions must use the "Get URL" command
- The action script code needed for the button layer in your Flash file should look exactly as it is below

- A default gif must be submitted for visitors without Flash or JavaScript.
- Client must submit both .swf and .fla files. If modifications to the .fla are necessary, we will ask that you either (a) provide all required fonts in Windows TrueType or Type 1 format, or (b) ensure all internal text is flattened/broken (this option prohibits the editing of text elements).
- Advertisement formats not accepted:
- Pop-ups and floating ads.
- Ads designed to collect personally identifiable information from visitors to the website without their knowledge or permission.
- Ads that expand across or down the page or send visitors to another site without the visitor having clicked on the ad.
